New Delhi: Zaggle Prepaid Ocean Services Limited on Wednesday informed stock exchanges that it has incorporated a wholly owned subsidiary, Zaggle Payments IFSC Limited, in Gujarat International Finance Tec-City (GIFT City).

The company received the Certificate of Incorporation from the Ministry of Corporate Affairs on February 25, 2026, according to a regulatory filing made under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
The incorporation follows an earlier intimation made by the company on December 16, 2025, wherein it had disclosed plans to set up the subsidiary.
Zaggle Payments IFSC Limited will operate from GIFT City, India’s first International Financial Services Centre, which offers a regulatory and tax framework aimed at promoting global financial services activity from India.
While the company did not disclose the initial capital structure or detailed business plans for the new entity, the move is seen as part of Zaggle’s broader strategy to strengthen its presence in digital payments and financial services infrastructure.
Shares of Zaggle Prepaid Ocean Services Limited are listed on both the NSE and BSE.
Further details regarding the operations and business scope of the IFSC arm are expected to be shared in due course.
