Synopsis: Adani Road Transport Ltd (ARTL), a wholly owned subsidiary of Adani Enterprises, has signed definitive agreements to acquire a 49% stake in Sree Vishwa Varadhi Pvt Ltd, with an option to increase its holding subject to regulatory approvals. The move strengthens the group’s presence in the road infrastructure and transport segment.

 

New Delhi: Adani Enterprises Ltd on Friday informed stock exchanges that its wholly owned subsidiary, Adani Road Transport Ltd (ARTL), has executed definitive transaction documents to acquire a 49% equity stake in Sree Vishwa Varadhi Private Limited (SVVPL), a road infrastructure company.

In a regulatory filing under Regulation 30 of the SEBI Listing Obligations and Disclosure Requirements, the company said the information was received on January 2, 2026, close to midnight. The acquisition will be carried out through subscription to fresh securities in SVVPL on a fully diluted basis, with Adani initially holding no prior stake in the entity.

As part of the transaction, ARTL will gain the right to appoint two nominee directors to the board of SVVPL. The agreements also provide Adani’s subsidiary with an option to acquire an additional stake from the existing shareholder, Vishwa Samudra Engineering Pvt Ltd, subject to regulatory clearances.

The company clarified that SVVPL and Vishwa Samudra Engineering are not related parties to the Adani promoter group and that the transaction does not fall under related-party norms. No issue price details were disclosed, as the acquisition involves subscription to fresh securities.

The move is in line with Adani Enterprises’ strategy to expand its footprint in transport and infrastructure assets through its road transport vertical. Over the past few years, the group has been scaling up investments across roads, logistics and allied infrastructure as part of its broader growth plan.

Shares of Adani Enterprises were trading in a narrow range following the disclosure, with investors tracking further details on the project portfolio and potential scale-up through the optional stake acquisition
