The company said it received confirmation of the dissolution on February 5, 2026, in a move that signals continued simplification of its overseas corporate structure.

 

New Delhi: Eternal Ltd, the food delivery and quick-commerce major formerly known as Zomato, has dissolved Zomato Netherlands B.V., a step-down subsidiary, as part of an ongoing clean-up of its overseas corporate structure.

In a regulatory filing, the company said the Dutch arm was dissolved with effect from January 27, 2026, and that it received official communication confirming the development on February 5. The disclosure has been made under Regulation 30 of the listing regulations.

The company had earlier informed exchanges about the entity in April 2025, and the latest update closes that chapter by formally winding up the step-down subsidiary. While the filing does not flag any material financial impact, the move is seen as part of a broader effort to simplify the group’s legal and operational footprint as it sharpens focus on core markets and businesses.

Eternal, which rebranded from Zomato, continues to operate its key consumer internet businesses from India, while rationalising smaller or inactive overseas entities to reduce compliance overheads and streamline governance.
