New Delhi: Kajaria Ceramics Ltd has appointed Hitesh Sohanlal Jain and Pradeep Udhas as additional non-executive independent directors for a term of five years, strengthening the board with legal, regulatory and global business expertise, the company said in a regulatory filing on Wednesday.

The appointments will be effective from December 19, 2025, and are subject to approval by the company’s shareholders. Both directors will hold office until December 18, 2030, and will not be liable to retire by rotation.
Jain is a senior legal professional with over three decades of experience in commercial litigation, regulatory advisory and public policy. A former member of the 23rd Law Commission of India, he is the founding and managing partner of Parinam Law Associates and has served on the boards of several pharmaceutical companies.
Udhas brings extensive experience in management consulting, technology and private equity, having earlier served as a senior partner and managing partner (West) at KPMG India. He has also held global leadership roles at KPMG and currently serves as an independent director on the boards of companies including IndusInd Bank, Hinduja Global Solutions and Finolex Industries.
The company said both appointees are independent of the management and are not related to any existing directors. Neither has been debarred from holding directorships by SEBI or any other autho rity.
