In a regulatory filing, the bank said the fund-raising would be undertaken in one or more tranches or series, subject to approval of shareholders and other statutory clearances, as may be required.

The approval gives the bank flexibility to tap the debt market to strengthen its liability profile and support business growth, amid competitive deposit conditions and evolving regulatory norms for capital and liquidity.

The board meeting that cleared the proposal was held on January 24, 2026, and commenced at 12.15 pm and concluded at 2.20 pm, the bank said.

Kotak Mahindra Bank did not specify the timing or pricing of the proposed issuances, noting that these would depend on market conditions at the time of execution.

The disclosure was made under Regulation 30 and Regulation 51 of the SEBI Listing Regulations, and the bank said the information has also been uploaded on its website for investor reference.
