Synopsis: The NCLT’s Mumbai bench has approved JSW Infrastructure’s resolution plan for NCR Rail Infrastructure, clearing the way for the JSW Group firm to take control of the stressed rail logistics company.

 

New Delhi: JSW Infrastructure on Friday said the National Company Law Tribunal (NCLT), Mumbai Bench II, has approved the company’s resolution plan for NCR Rail Infrastructure Limited, paving the way for the JSW Group firm to acquire the stressed rail infrastructure asset.

In a regulatory filing, the company said the resolution plan had earlier received approval from the committee of creditors (CoC) and was subsequently cleared by the NCLT on January 22, 2026.

The approval marks a key milestone in JSW Infrastructure’s strategy to expand its presence across the rail-linked logistics and infrastructure segment, complementing its existing port and cargo-handling operations.

The company had first disclosed the submission and CoC approval of the resolution plan in July 2025. With the NCLT’s order now in place, JSW Infrastructure can move ahead with the implementation of the resolution plan in accordance with the Insolvency and Bankruptcy Code (IBC).

JSW Infrastructure did not disclose financial details of the transaction in the filing. The company said the development has been intimated under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

NCR Rail Infrastructure was undergoing corporate insolvency resolution proceedings, and the tribunal’s approval brings closure to the legal process, subject to compliance with conditions set out in the NCLT order.
